Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of minimal (“minimal”, “we”, “us”, or “our”), a textile and garment ERP software that helps manufacturers and wholesale sellers manage inventory, orders, invoicing, customers, and other business operations (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

• You must be at least 18 years old and authorized to act on behalf of the business you register.
• Accounts are created and accessed using mobile number authentication with OTP verification. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it.
• You agree to provide accurate and current information, including your business name, GST number, business address, and any images you upload, and to keep this information updated.
• You must notify us immediately of any unauthorized use of your account.

minimal provides tools for inventory management, order processing, invoicing, customer management, manufacturing tracking, and related business functions for textile and garment businesses. We may add, modify, or remove features of the Service at any time, with or without notice.

• Access to certain features requires a paid subscription plan. Applicable fees, billing cycles, and plan features are described within the Service at the time of purchase.
• Subscription payments are processed securely through Razorpay, our third-party payment gateway. By subscribing, you authorize us (via Razorpay) to charge your chosen payment method for the applicable subscription fees.
• Subscriptions automatically renew at the end of each billing cycle unless cancelled by you before the renewal date. You may cancel your subscription at any time from within the Service; cancellation will take effect at the end of the current billing period.
• Fees are generally non-refundable, except where required by applicable law or expressly stated otherwise at the time of purchase. Failure to pay applicable fees may result in suspension or downgrade of your access to paid features.
• You are responsible for any taxes applicable to your subscription, other than taxes based on our net income.

You retain ownership of the business data, records, and content you upload or create within the Service (“Customer Data”), including inventory, order, invoicing, and customer records, and any images you provide. You grant minimal a limited license to host, store, process, and display Customer Data solely for the purpose of providing and improving the Service to you. Your use of the Service and handling of your data are also governed by our Privacy Policy.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Upload false, misleading, or fraudulent business, tax, or identity information.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Interfere with, disrupt, or place undue burden on the Service or its infrastructure.
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
• Resell, sublicense, or provide the Service to third parties without our prior written consent.

The Service, including its software, design, logos, and trademarks (including “minimal”), is owned by us or our licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding without our prior written consent.

We strive to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by applicable law.

To the maximum extent permitted by law, minimal and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim.

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or engage in conduct that we reasonably believe harms minimal, other users, or third parties. Upon termination, your right to use the Service will immediately cease, and we may delete your account data in accordance with our Privacy Policy.

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or via the mobile number/email associated with your account. Continued use of the Service after such changes constitutes your acceptance of the updated Terms.
